Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Sparrow Intelligence through its operating entities:
- Sparrow Intelligence LLC (United States)
- Sparrow Intelligence OÜ (Estonia, European Union)
By accessing or using our services, you agree to be bound by these Terms.
1. Services
Sparrow Intelligence provides software engineering, backend development, AI systems engineering, DevOps, infrastructure, and consulting services including:
- MVP Launch Projects
- Client Hours (time-based services)
- Growth Retainer (ongoing ownership model)
- Trial services (Kickoff Session, Trial Hours)
The exact scope of services is defined in a separate Service Agreement or Statement of Work (SOW).
2. Engagement Models
- MVP Launch Project: Fixed-scope, fixed-fee project
- Client Hours: Time-based engineering services
- Growth Retainer: Monthly system ownership and execution
- Trial Services: Limited-scope evaluation engagements
Each is governed by its respective commercial terms under the Service Agreement.
3. Payments & Invoicing
- Invoices are payable within 7 days unless otherwise stated.
- Payments are non-refundable once work has begun, except where explicitly agreed in writing.
- Currency is defined by contract (USD, EUR, or GBP).
- Taxes, VAT, or withholding taxes are the responsibility of the client unless legally required otherwise.
4. Intellectual Property Rights
Upon full payment:
- The client owns all custom source code, documentation, and deliverables created specifically for their project.
- Sparrow Intelligence retains ownership of:
- Internal frameworks
- Libraries
- Tooling
- Pre-existing systems and IP
5. Confidentiality
Both parties agree to keep all non-public business, financial, and technical information confidential. A separate NDA may be executed if required.
6. No Guarantee of Business Results
Sparrow Intelligence guarantees professional execution only. No guarantees are made regarding funding, revenue, or commercial success.
7. Limitation of Liability
To the maximum extent permitted by law:
- Sparrow Intelligence shall not be liable for indirect, incidental, or consequential damages.
- Total liability is capped at the total amount paid by the client in the preceding 3 months.
8. Termination
Either party may terminate:
- For breach with written notice
- For convenience under Retainers with 30 days’ notice
9. Governing Law & Jurisdiction
- US clients: Governed by the laws of the United States under Sparrow Intelligence LLC
- EU/UK clients: Governed by the laws of Estonia (EU) under Sparrow Intelligence OÜ
